Production Costs: ABC will remit to Artist Co. 75% of all Net Revenues. “Net Revenues” shall mean (A) the Show’s gross digital ticket sales less: (i) all reasonable and verifiable set-up and service fees, payment processing and transaction costs and any other related transaction costs and fees (collectively, the “Payment Transaction Costs”), (ii) reasonable and verifiable credit card processing fees, charges and charge backs, taxes, and any other related verifiable costs and fees incurred by ABC in connection with the tickets sales of the Show (the “Processing Fees”), and (iii) the ABC Covered Production Costs, (iv) public rights organizations (“PRO”) and label royalties, rights and high cost clearance costs, (v) reasonable, actual, documented, verifiable out-of-pocket marketing and creative costs incurred by ABC (including, without limitation, the Marketing Budget) (the “Marketing Costs”), (vi) reasonable and verifiable costs incurred by ABC to attempt to secure VOD rights, and (vii) the Advance (as defined herein), plus (B) any merchandize sales revenue derived in connection with the Show less all reasonable and verifiable merchandize production costs, set-up and service fees, payment processing and transaction costs and any other related transaction costs and fees (“Merchandise Costs”). The parties hereby agree that the Payment Transaction Costs and PRO royalties shall in the aggregate equal to no more than 10% of gross digital ticket sales. All of the costs to referred to herein shall be first recouped by ABC off the top from gross digital tickets sales before any other distributions of Net Revenues to the parties as required herein. Notwithstanding the foregoing, ABC agrees to recoup the Payment Transaction Costs and PRO royalties in aggregate of 10% of gross ticket sales (collectively, the “PTC & PRO Costs").

ABC agrees to provide Artist Co. with a total pre-show payment of seventy-five thousand U.S. dollars ($75,000 USD) (the “Advance”) (recoupable against Artist’s share of Net Revenues), with 50%of the Advance due and payable twelve (12) days after the execution of this Term Sheet, subject ABC’s receipt of an overall detailed production budget, and the remaining 50% of the Advance (representing a Minimum Guarantee of revenue to be recouped against revenue prior to the Net Revenue split) due and payable five days (5) prior to the Show. ABC Shall be entitled to receive the full MG, Advance, the Processing Costs, the Marketing Costs, PTC & PRO Costs and Merchandise Costs before any other distributions are made to the parties as required herein.

The Advance shall also serve as ABC’s total contribution to cover the production costs of the Show, including venue, creative, equipment, crew, single main feed, and internet transmission in order to deliver a fully produced professional live stream via the ABC Platform as mutually reasonably agreed by the parties (the “ABC Covered Production Costs”). For the transmission side, no satellite transmission is included in the production costs. Parties shall mutually agree to a production and creative budget for the Show. Artist Co. shall provide proof of actual expenditure against the production budget prior to the date of the Show.

ABC의 선급금은 Show 제작비 충당에 사용되고, 여기에는 양방이 상호 합리적으로 합의한 바대로 ABC 플랫폼을 통해 인터넷에서 전문적인 라이브 스트리밍에 필요한 장소, 크리에이티브, 장비, 담당 인력, 단독 디지털 영상과 인터넷 전송이 포함된다(이하 “ABC에서 부담하는 제작비”). 전송 부문의 경우, 위성 전송은 제작비에 포함되지 아니한다. 양방은 Show에 필요한 제작 및 창작 예산에 대해 상호 합의한다. 아티스트 소속사는 Show 공연일 전에 제작 예산 대비 실제 지출 내역을 제출한다.
