CONSULTING AGREEMENT

This Consulting Agreement (the “Agreement”) is made and entered into this XXXX Day of XXXX, 2021 and is deemed to be effective from January 1, 2021 (the “Effective Date”) by and between A**** (the “Company”) and B****​ (the “Consultant”) (hereinafter referred to individually as a “Party” and collectively as “the Parties”).

WHEREAS, the Company is a professional trade association for enterprises located in Korea in the business of production, marketing, distribution and selling of *** products and wishes to retain an Overseas *** Industry Advisor;

WHEREAS, the Consultant has engineering expertise in the area of managing and directing cement businesses internationally, dealing with environmental and carbon emission issues both in terms of abatement and dealing with governments and regulators as well as representation and leadership in both national and regional cement trade associations;

WHEREAS, the Company desires to engage the Consultant to provide certain services and the Consultant is willing to provide such services to the Company;

NOW, THEREFORE, the Parties hereby agree as follows:

1.      Engagement and Services

(a)     Engagement. The Company hereby engages the Consultant as Overseas *** Industry Advisor to provide and perform the services outlined in Annex 1 attached hereto (the “Services”), and the Consultant hereby accepts the engagement. This engagement follows both email exchanges and conference calls between the Parties throughout December, 2020 and January and February, 2021.

(b)      Standard of Services. All Services to be provided by Consultant shall be performed with promptness and diligence in a workmanlike manner and at a level of proficiency to be expected of an engineering consultant with the background and experience of the Consultant outlined in his curriculum vitae. The Company shall provide such access to its information, property and personnel as may be reasonably required in order to permit the Consultant to perform the Services.

(c)      Tools, Instruments and Equipment. The Consultant shall provide his own tools, instruments and equipment and place of performing the Services which shall be primarily by means of desktop study, unless otherwise agreed between the Parties.

(d)      Representation and Warranty. The Consultant represents and warrants to the Company that it is under no contractual or other restrictions or obligations which are inconsistent with the execution of this Agreement or which will interfere with the performance of the Services.

컨설팅계약

본 컨설팅 계약(“계약”)은 2021년 XX월 XX일에 A***(“회사”)와 B*** (“컨설턴트”)간에 체결되었으며, 2021년 1월 1일(“효력발생일”)에 발효한 것으로 간주한다.

한편, 회사는*** 제품의 생산, 마케팅, 유통 및 판매 사업에 종사하는 한국 소재 기업들을 위한 전문 동업자 협회이며, 해외*** 업계 자문역을 보유하고자 한다. 

한편, 컨설턴트는 정부나 단속기관의 규제 완화나 섭외 관련 국제적 시멘트 사업 경영관리 분야와 환경 및 탄소배출 문제 처리, 국가나 영역 내 시멘트업계에서의 대변인이나 주도적 역할에 관한 공학 전문성을 보유하고 있다. 

한편, 회사는 특정 서비스를 제공하도록 컨설턴트를 고용하고자 하고, 컨설턴트는 회사에 그 서비스를 제공하고자 한다. 

따라서, 당사자들은 본 계약을 통해 아래와 같이 합의한다. 

1. 고용 및 서비스

(a) 고용. 회사는 본 계약을 통해 컨설턴트를 본 계약에 첨부된 부록 1에 기재된 서비스(“서비스”)를 제공하고 이행할 해외***업계자문역으로 고용하고, 컨설턴트는 본 계약을 통해 그 고용을 수락한다. 본 고용은 2020년 12월과 2021년 1월 및 2월 중의 당사자들 간 이메일 교환과 전화 협의를 통해 성사된 것이다. 

(b) 서비스 기준. 컨설턴트가 제공하는 모든 서비스는 신속하고 성실하고 능숙한 방식에 따라 그의 이력서에 기재된 컨설턴트의 배경과 경험을 가진 엔지니어링 컨설턴트에게 기대하는 숙련된 수준으로 이행되어야 한다. 회사는 컨설턴트가 서비스를 이행할 수 있게 하는 데에 필요한 자료에 대한 접근과 자산 및 인원을 제공해야 한다.   

(c) 도구. 문서 및 장비. 당사자들이 달리 합의하지 않는 한, 컨설턴트는 기본적으로 탁상업무인 서비스 이행에 필요한 도구, 문서, 장비 및 장소를 스스로 갖추어야 한다. 

(d) 진술 및 보장. 컨설턴트는 회사를 상대로 본 계약 체결에 부합하지 않거나 서비스 이행을 방해하는 계약상 기타 제약이나 의무를 부담하고 있지 않음을 진술하고 이를 보장한다.
