제 8조의 2 (우선주식의 내용과 수)

① 이 회사가 발행할 이익배당 또는 잔여재산 분배에 관한 우선주식은 의결권이 없는 것으로 하며, 그 발행 주식의 수는 제8조의 3, 제8조의 4에 의하여 발행되는 종류주식의 수와 합하여 발행주식 총수의 4분의 1범위 내로 한다.

② 이익배당 우선주식에 대하여는 발행 시 이사회 결의로 액면금액을 기준으로 하여 연1%이상으로 우선배당율을 정한다.

③ 이익배당 우선주식에 대하여는 이사회 결의에 의하여 참가적 또는 비참가적, 누적적 또는 비누적적인 것으로 할 수 있다. 다만, 의결권 없는 이익배당 우선주식에 대하여 소정의 배당을 하지 아니한다는 결의가 있는 경우에는 그 결의가 있는 주주총회의 다음 주주총회부터 그 우선적 배당을 한다는 결의가 있는 주주총회의 종료 시 까지는 의결권이 있는 것으로 한다.

④ 우선주식의 존속기간은 발행일로부터 1년 이상으로서 발행 시 이사회가 정하고 발행 시 달리 정함이 없는 한 이 기간 만료와 동시에 보통주식으로 전환된다. 이 경우 전환으로 인하여 발행하는 주식에 대한 이익의 배당에 관하여는 제12조의 규정을 준용한다. 다만, 누적적 이익배당 우선주식의 존속기간 중 소정의 배당을 하지 못한 경우에는 소정의 배당을 완료할 때까지 그 기간을 연장한다.

Article 8-2 (Contents and Number of Preferred Stocks)

 ① Preferred stocks related to dividends or the distribution of residual assets to be issued by this company shall not confer voting rights, and the number is the sum of the number of class stocks issued pursuant to Article 8-3 and Article 8-4, and it is within a quarter of the total number of issued shares.

 ② For profit-dividend preferred stock, the dividend rate will be set at 1% or greater per year based on the face value at the time of issuance.

 ③ It may be deemed participatory or non-participatory and cumulative or non-cumulative through a resolution of the Board of Directors with respect to the profit distribution preferred stock. However, if there is a resolution to not pay a predetermined dividend for the dividends preferred stocks without voting rights, then voting rights shall be held from the next general shareholders' meeting with the resolution to the end of the general shareholders' meeting to pay the preferred dividend.

④ The duration of preferred stocks is one year or longer from the date of issuance, and it is converted to common stocks upon expiration of this period unless otherwise determined by the board of directors at the time of issuance. In this case, the provisions of Article 12 shall apply mutatis mutandis to the distribution of profits to stocks issued due to conversion. However, if the prescribed dividend is not paid during the term of the cumulative profit distribution preferred stock, then the period will be extended until the prescribed dividend is completed.
